Thursday's lead is straightforward: $GOOG disclosed two simultaneous capital transactions. Berkshire Hathaway invested $10 billion directly in Alphabet through a private placement, and Alphabet separately launched a $9 billion public stock offering — pulling a combined $19 billion in fresh capital from the market in a single session. The Berkshire component is the more consequential of the two. Buffett's firm has historically maintained wide distance from large technology positions; a $10 billion stake in Alphabet represents a meaningful departure from that posture. Alphabet has not disclosed specific deployment plans for the capital raised. The public offering will dilute existing shareholders proportionally; use of proceeds for that tranche has not been specified.

Five of the market's largest names showed insider selling Thursday — and a sixth filed a transaction dated last week. $MSFT CEO Judson Althoff sold $7.1 million in shares. $META COO Javier Olivan sold $5.3 million on June 1. $AMD director Denzel Nora sold $4.5 million across two sessions. $COIN director Frederick Wilson sold $1.1 million on June 1. $INTC: an executive sold $2.49 million on May 29, with the Form 4 filed today — a six-day lag between the trade date and public disclosure. $WMT EVP Seth Dallaire sold $44.5 million via tax withholding: shares surrendered to cover taxes on vesting RSUs, a mechanical process rather than a discretionary open-market sale. Taken individually, each transaction has a plausible routine explanation. Taken as a cluster across six mega-cap names in a single session, the pattern is worth recording.

The outlier: UNH

$UNH CEO Patrick Conway acquired $76.9 million in company stock. That is among the larger disclosed insider purchases on record for a U.S. executive in a single filing. UnitedHealth has faced sustained pressure over the past twelve months. A purchase at this scale is unambiguous in its declared direction.

What we set aside

One annual-meeting equity-plan filing was reviewed and dropped as non-market-moving housekeeping. Seven filings were examined but held back because the underlying events occurred more than 36 hours before today's close. Twenty-two tickers were examined and returned no substantive news inside the filing window. No additional material filings cleared the secondary desk gate today.

The desk is watching Alphabet's public offering pricing and any disclosure from Berkshire Hathaway on the terms and intended holding period of its $10 billion Alphabet stake.
