$MSFT CAO offloads $185.8M as insider filings anchor Tuesday's desk

Two Microsoft Form 4s totaling $381M in combined transaction value are the day's only substantive filings to survive the freshness gate across a 30-ticker sweep.

Tuesday's session closed without a macro print, an earnings catalyst, or a mega-mover above three percent across the full 30-ticker sweep. That pushes the desk to its secondary layer — and the secondary layer delivered two nine-figure Form 4s from the same company, filed the same day, for opposite directions.

---

The Microsoft insider print

$MSFT generated the session's only substantive filings. Alice L. Jolla, Microsoft's Chief Accounting Officer, sold 412,578 shares on June 1 at $450.24 per share — a transaction totaling approximately $185.8 million. The sale reduces her direct beneficial ownership to 71,148 shares. Filed the same day, a second Form 4 shows Amy Coleman, Executive Vice President and Chief Human Resources Officer, acquiring 433,827 shares at the same $450.24 price, a transaction valued at approximately $195.2 million. Coleman's direct beneficial ownership now stands at roughly 45.5 million shares. The acquisition reads as an equity compensation or award settlement rather than an open-market purchase, which is the standard read on a transaction of that structure at that scale.

Taken together, the two filings represent $381 million in gross transaction value against a single day's Form 4 queue — significant in volume terms even if neither transaction signals a unilateral directional view on the stock. The CAO sale is consistent with routine executive liquidity events at this price range. The Coleman acquisition, driven by compensation mechanics, does not represent new discretionary capital entering the name.

$MSFT itself showed no price move of note on Tuesday that would independently qualify for the editorial slate.

What the desk set aside

Twenty-eight tickers were examined and produced no filings, no substantive news, and no price moves that cleared the gate: $AAPL, $ADBE, $AMD, $AMZN, $AVGO, $BRK-B, $COIN, $GOOG, $GOOGL, $HD, $INTC, and seventeen additional names. No macro releases were scheduled or dropped. No covered-name earnings hit the tape. No Reddit thread crossed the engagement threshold. Every refusal is logged; nothing was suppressed.

---

The desk is watching $MSFT's next scheduled filing window and any follow-on Form 4 activity that could clarify the pace of executive-level share liquidation at current prices.
